    1. Employment Contract

    This Employment Contract (this "Contract") is made effective as today, by and between MAXHERO SERVICES LLC, 4031B 183rd street, Country Club Hills Illinois, 60478 and you.
    A. MAXHERO SERVICES LLC is engaged in the business of Information Technology (IT). You will primarily perform the job duties at your
    location from home for now and might be relocated from your country at any time to anywhere.
    B. MAXHERO SERVICES LLC desires to have your service.
    C. You are an at-will employee of MAXHERO SERVICES LLC either party is able to terminate the employment agreement at any time.

    2. Therefore, the parties agree as follows:( EMPLOYMENT, BEST EFFORTS and COMPENSATION)

    1. EMPLOYMENT.
    MAXHERO SERVICES LLC shall employ you as an customer service representative agent.
    As a customer service representative you will provide to MAXHERO SERVICES LLC duties as needed. As discussed during the hiring
    process, you will receive training before you enter production, which will allow you to provide service to our Client’s customers. Your
    production schedule will be determined and shared during your training.
    2. BEST EFFORTS OF EMPLOYEE.
    You agree to perform faithfully,
    Industriously, and to the best of your ability, experience, and talents, all of the duties that may be required by the express and implicitMAXHERO SERVICES LLC. Such duties shall be provided at such place(s) as the needs, business, or opportunities of MAXHERO SERVICES LLC may require from time to time.
    3. COMPENSATION OF EMPLOYEE.
    As compensation for the services provided by you under this Contract, MAXHERO SERVICES LLC will pay you $300 the 1st month of your employment and the next month you will be getting an additional $50 for you monthly data subscription so $350 monthly except the 1st month. A breakdown of your compensation category will be $1.87 per hour and any (overtime you do will be $2.80 per hour). This amount shall be paid monthly on the fifth day of the following month and subject to applicable federal, state, and local withholding. Upon termination of this Contract, payments under this paragraph shall cease; provided, however, that you will be entitled to payments for periods or partial periods that occurred prior to the date of termination and for which you have not yet been paid, and for any commission earned in accordance with MAXHERO SERVICES LLC's customary procedures, if applicable. This section of the Contract is included only for accounting and payroll purposes and should not be construed as establishing a minimum or definite term of employment.

    3. Time Clock Policy & Procedures

    1. For All Hourly Employees Effective 07/1/2021
    2. Policy: The law requires that all non-exempt personnel record daily hours worked. These hours are recorded in AcroTime (an Internetaccessible
    hosted workforce management system) and employees are responsible for its accuracy. Employees may not clock in or out
    for another person. Falsification of timesheets is strictly prohibited and will result in disciplinary action up to and including termination.
    3. Purpose: To establish guidelines for hourly employees to have a record of hours worked using Acrotime, our web-based timekeeping
    system.
    4. Procedures
    5. The following regulations will apply:
    6. Employees are required to clock in prior to their assigned start time and must clock out when they go off duty.
    7. Employees are required to clock out any time they leave the work site for any reason other than assigned work duties.
    8. Unless permission to do otherwise by the employee's supervisor, no employee may clock in more than 5 minutes prior to, or 5
    minutes after, the start of their shift. Employees may not clock out more than 5 minutes prior to, or 5 minutes following the end of their work time.
    9. Clocking in within the time-frame specified in item three, will be calculated as an on-time report for duty.
    10. Employees will be paid from time sheets verified by actual recorded times in Acrotime.
    11. Any adjustments to the recorded time must be approved by the employee's supervisor. Employees will be accountable to their CD
    for any manual changes submitted.
    12. Employees must clock out for their designated lunch time.
    13. Employees should remain clocked in for mandatory meetings (clinic meetings, triad meetings, and all staff meetings).
    14. Employees who have actual working hours in excess of 40 hours per week will be paid as overtime on approval.
    15. Except in emergency circumstances, prior permission to work overtime should be approved by a supervisor.
    16. Violations of these procedures may result in disciplinary actions($25 late fees will be deducted from your monthly salary any time
    you clock-in late); including oral or written
    17. warnings, suspension without pay, and/or termination. NB: {Under no circumstance may one
    18. employee clock in or out for another employee. Any employee participating in this type of
    19. violation will face immediate termination.}
    20. SIGNING CONFIRMS THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.

    4. DEATH OF THE EMPLOYEE.

    If you die during the term of this Contract, you will be entitled to payments or partial commission payments for the period ending with
    the date of your death

    5. CONFIDENTIALITY

    You recognize that MAXHERO SERVICES LLC has and will have information regarding the following:
    - customer lists
    - customer information
    - prices
    - costs
    - discounts and other vital information items (collectively, "Information") which are valuable, special, and unique assets of MAXHERO SERVICES LLC
    you agree that you will not at any time or in any manner, either directly or indirectly, divulge, disclose, or communicate any information to any third party without the prior written consent of MAXHERO SERVICES LLC you will protect the Information and treat it as strictly confidential. A violation by you of this paragraph shall be a material violation of this Contract and will justify legal and/or equitable relief.
    This Agreement is in compliance with the Defend Trade Secrets Act and provides civil or criminal immunity to any individual for the
    disclosure of trade secrets: (i) made in confidence to a federal, state, or local government official, or to an attorney when the disclosure
    is to report suspected violations of the law; or (ii) in a complaint or other document filed in a lawsuit if made under seal.

    6. UNAUTHORIZED DISCLOSURE OF INFORMATION

    Have disclosed (or have threatened to disclose) Information in violation of this Contract, MAXHERO SERVICES LLC shall be entitled to an injunction to restrain you from disclosing, in whole or in part, such Information, or from providing any services to any party to whom
    such information has been disclosed or may be disclosed. MAXHERO SERVICES LLC shall not be prohibited by this provision from
    pursuing other remedies, including a claim for losses and damages.

    7. CONFIDENTIALITY AFTER TERMINATION OF EMPLOYMENT

    The confidentiality provisions of this Contract shall remain in full force and effect for a period of 5 Years after the voluntary or
    involuntary termination of your employment. During such period, neither party shall make or permit the making of any public
    announcement or statement of any kind that you were formerly employed by or connected with MAXHERO SERVICES LLC

    8. EMPLOYEE'S INABILITY TO CONTRACT FOR EMPLOYER

    You will not have the right to make any contracts or commitments for or on behalf of MAXHERO SERVICES LLC without first obtaining the express written consent of MAXHERO SERVICES LLC

    9. TERM/TERMINATION

    Your employment under this Contract shall be for an unspecified term on an "at-will" basis. This Contract may be terminated by MAXHERO SERVICES LLC upon no written notice, and by you 30 days written notice. If you are in violation of this Contract, MAXHERO SERVICES LLC may terminate employment without notice and with compensation to you only to the date of such termination. The compensation
    paid under this Contract shall be your exclusive remedy.

    10. COMPLIANCE WITH EMPLOYER'S RULES

    You agree to comply with all of the rules and regulations of MAXHERO SERVICES LLC

    11. RETURN OF PROPERTY

    Upon termination of this Contract, you will deliver to MAXHERO SERVICES LLC all property which is MAXHERO SERVICES LLC's property or related to MAXHERO SERVICES LLC's business (including keys, records, notes, data, memoranda, models, and equipment) that is in your possession or under your control. Such obligation shall be governed by any separate confidentiality or proprietary rights
    agreement signed by you.

    12. NOTICES

    All notices required or permitted under this Contract shall be in writing and shall be deemed delivered when delivered in person or on
    the third day after being deposited in the United States mail, postage paid, addressed as follows:

    Such addresses may be changed from time to time by either party by providing written notice in the manner set forth above.

    13. ENTIRE AGREEMENT

    This Contract contains the entire agreement of the parties and there are no other promises or conditions in any other agreement
    whether oral or written. This Contract supersedes any prior written or oral agreements between the parties.

    14. AMENDMENT

    This Contract may be modified or amended if the amendment is made in writing and is signed by both parties.

    15. SEVERABILITY

    If any provisions of this Contract shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such
    provision it would become valid or enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

    16. WAIVER OF CONTRACTUAL RIGHT

    The failure of either party to enforce any Provision of this Contract shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Contract.

    17. MONITORING

    MAXHERO SERVICES LLC has the right to monitor any employee's personal computer during work hours.

    18. APPLICABLE LAW

    This Contract shall be governed by the laws of the State of Illinois.

    19. SIGNATORIES

    This Contract shall be signed by the Human Resources Manager on behalf of MAXHERO SERVICES LLC and by you in an individual capacity. This Contract is effective as of the date first above written.
